• The signatories agree to carry out the negotiations in full good faith and in a constructive manner so that they could sign a definitive document having as object the following:

• the achieving on the Site by Developer of a DIY store with its networks, access ways and parking,
• the exclusive use by Praktiker of the land necessary for the DIY store to be built by Developer and leased by Praktiker.
• the use of the parking places in front of the building (minimum 250 places) as well as of the other common parts including the access ways necessary to the exploitation of the store,
• the financial undertakings of Praktiker towards Developer  will be for monthly net rent of XEuro/m2 on a net leasable area basis for a term of 12 years.
• The leasehold contract to have the following terms:
• annual escalation of the rent after the fifth year at Euro CPI
• Praktiker will pay a building grant to Developer of Y Euro on a schedule to be agreed.
• An annual service charge will be paid in addition to the rent for common services, this charge to be capped at a maximum of 0.50 Euro cents perm/ for the first three years, thereafter to be on a cost-plus management charge basis.
• The VAT will be payable in addition, on all sums quoted in the lease contract.
• the undertakings of Developer to achieve the building permit for the Praktiker store no later than …..

• The signatories agree to set a delay of 90 days as from the date of signing the present document in order to complete the negotiations and to sign – in case they agree – the final agreement.
